Driven Brands Holdings (DRVN) Shareholder Investigation
April 13, 2026
Shamis & Gentile, P.A. is investigating potential shareholder claims on behalf of Driven Brands Holdings Inc. ("Driven Brands Holdings" or the "Company") (DRVN) against certain of its directors and officers for alleged breaches of fiduciary duties and other violations of law. Concerned shareholders are advised to contact the firm now.
The inquiry follows the filing of a class action complaint on April 30, 2025, which alleges that certain directors and officers of Driven Brands made materially false and misleading statements and omitted to disclose material adverse facts regarding the Company’s car wash and auto glass business segments. It is alleged that the board and management failed to disclose that the car wash segment was experiencing widespread equipment failures and poor service, and that the Company had not adequately invested in service, equipment, and maintenance. Additionally, with respect to the auto glass segment, the class action complaint alleges that Driven Brands failed to establish and maintain an effective point-of-sale (POS) system to report and store data across its operations. These data management issues reportedly caused substantial delays in the integration of acquired businesses, necessitating a complete overhaul of the Auto Glass Now (AGN) POS system.
On August 2, 2023, following public disclosures regarding operational and integration challenges, Driven Brands' stock price declined approximately 41%. The investigation focuses on whether these issues reflect apparent failures in board oversight and internal controls, potentially resulting in significant financial harm to the Company.
