FMC Corporation (FMC) Shareholder Investigation
April 13, 2026
Shamis & Gentile, P.A. is investigating potential shareholder claims on behalf of FMC Corporation ("FMC" or the "Company") (FMC) against certain of its directors and officers for alleged breaches of fiduciary duties and other violations of law. Concerned shareholders are advised to contact the firm now.
The investigation follows the filing of a class action complaint against FMC on February 13, 2025, which alleges that, FMC's directors and officers made materially false and/or misleading statements and omitted material facts about the Company’s business, operations, and prospects. Specifically, it is alleged that FMC's board and management failed to disclose that the Company’s channel management initiatives were not progressing as represented, and that FMC, when faced with pricing pressure, made the decision not to compete on prices and instead "walk away" from "sales opportunities." As a result, the Company allowed inflated inventory to accumulate in distribution channels across key regions, including LATAM, Asia, Canada, and Eastern Europe.
On February 4, 2025, FMC reported that growth was below expectations as customers in many countries held less inventory than historically, and projected 2025 revenue to remain "essentially flat" due to weaker channel demand. On this news, FMC’s stock fell $18.12 (33.5%) to $35.92 on February 5, 2025, resulting in a significant loss of market capitalization.
If you have held FMC (NYSE: FMC) since at least November 2023, you may be able to seek corporate reforms, the return of funds back to the Company, and a court-approved incentive award for you, all at absolutely no cost.
